Assessment Runs, Credits, Payments, Refunds and Service Changes

1. Our general customer support approach

We want Docutiser to be useful, fair and practical. If something goes wrong with the Service, we may try to assist you, including by helping you troubleshoot, re-running an assessment, restoring access, extending time, applying a credit, or taking some other support step that we consider appropriate.

However, unless these Terms expressly say otherwise, any support step we take is voluntary and discretionary. It does not create an ongoing obligation, warranty, guarantee, entitlement, precedent or promise that we will take the same step again, or that we will provide any particular remedy in any particular case.

2. What you purchase

Docutiser may offer free plans, paid subscriptions, prepaid credits, assessment runs, top-ups, trials, bundled usage, promotional entitlements or other access arrangements.

These credits, runs and entitlements are limited permissions to request use of the Docutiser platform. They are not money, stored value, legal tender, gift cards, property, trust funds, or an entitlement to any particular result.

Payment gives you access to the relevant plan, feature, credit, run or usage entitlement we make available from time to time. It does not guarantee that:

- Any assessment will produce a correct, complete, useful, lawful, compliant or suitable output.

- Any assessment will identify every issue in a document.

- Any assessment will avoid false positives, false negatives, omissions or errors.

- Any output will be accepted by a council, agency, client, court, consultant, certifier, regulator or other third party.

- The Service will remain available indefinitely.

- Any feature, framework, model, integration, workflow, credit system or pricing structure will continue unchanged.

3. Assessment runs and credits

An assessment run or credit may be used, consumed or deducted when an assessment request is submitted, accepted, queued, commenced or processed by the Service, even if the resulting output is incomplete, inaccurate, unsuitable, not useful to you, or not relied on by you.

Unless we expressly state otherwise:

- Subscription credits or runs are available only during the relevant billing period.

- Unused subscription credits or runs expire at the end of that billing period.

- Top-up credits expire 12 months after purchase.

- Credits and runs are not transferable.

- Credits and runs are not redeemable for cash.

- Credits and runs are not refundable.

- Credits and runs cannot be sold, assigned, exchanged or used outside the Service.

- Credits and runs may be changed, limited, suspended, withdrawn, revoked or deleted in accordance with these Terms.

Your sole entitlement is whatever remedy, if any, we choose to provide at our discretion, unless a remedy is required by law.

We may, at our discretion, re-credit or re-run an assessment where we consider that an assessment failed because of a platform-side technical issue. This is a customer support position only. It does not create a contractual right to a refund, re-credit, re-run, extension, compensation or other remedy, except where required by law.

4. Failed, delayed or unavailable assessments

Docutiser depends on software, hosting infrastructure, file storage, databases, authentication systems, payment providers, AI model providers, internet connectivity and other third-party services. The Service may fail, time out, be delayed, become unavailable, return an error, generate an incomplete output, or otherwise not operate as expected.

To the maximum extent permitted by law, we are not liable for any failed, delayed, unavailable, incomplete, inaccurate or unsuccessful assessment, including where this causes you to lose time, money, opportunity, business, clients, confidence, data, documents, credits, assessment runs or expected value.

We may try to help you resolve the issue, but we do not guarantee that we will be able to do so.

5. Refunds

Except where required by law, all payments are final and non-refundable.

We do not provide refunds, credits, re-runs, extensions, account credits, compensation or other remedies merely because:

- You changed your mind.

- You no longer need the Service.

- You did not use the Service.

- You did not use all available credits or runs.

- Your credits or runs expired.

- You purchased the wrong plan or amount of usage.

- An assessment output was incomplete, inaccurate, unsuitable or not useful to you.

- You relied on an output and later disagreed with it.

- A third party disagreed with, rejected or criticised an output.

- You experienced delay, downtime, interruption or reduced functionality.

- A feature, plan, model, framework, integration or workflow was changed, withdrawn or discontinued.

- Your account was suspended, restricted or terminated under these Terms.

- Your uploaded content, assessment outputs, account data, credits or runs were deleted in accordance with these Terms.

Any refund, credit, re-run, extension or other support outcome we provide is voluntary unless required by law.

6. Subscriptions

If you purchase a subscription, you authorise us and our payment provider to charge the applicable subscription fees at the stated billing intervals until the subscription is cancelled or otherwise ends.

You are responsible for cancelling your subscription before the next billing date if you do not want to be charged again.

Unless required by law or expressly stated otherwise:

- Cancellation stops future billing but does not refund past payments.

- Cancellation does not revive expired credits or runs.

- Cancellation does not require us to preserve unused subscription credits or runs.

- Cancellation does not require us to provide access after the end of the relevant paid period.

If a payment fails, is reversed, is disputed, or cannot be processed, we may suspend, restrict, downgrade or terminate access to the Service.

7. Changes to the Service

We may change, limit, suspend, withdraw, replace, discontinue or stop providing all or part of the Service at any time.

This includes any feature, plan, pricing structure, subscription, top-up, credit system, assessment workflow, AI model, prompt process, framework, requirement, output format, storage function, authentication method, payment arrangement, integration, or other part of Docutiser.

We may do this for any reason, including technical limits, provider changes, model availability, legal or regulatory concerns, privacy or security risks, misuse, cost changes, operational constraints, maintenance, commercial viability, or a decision to stop operating the Service.

Where reasonably practicable, we may give notice before making a material change to a paid feature. However, we are not required to give notice where we consider immediate action necessary or appropriate.

Except where required by law, a change, suspension, withdrawal, replacement or discontinuance of the Service does not entitle you to a refund, credit, re-run, extension, compensation or other remedy.

8. Account suspension and termination

We may suspend, restrict, disable or terminate your account or access to the Service immediately, with or without notice, if we reasonably believe that:

- You have breached these Terms.

- You have not paid an amount when due.

- A payment is reversed, disputed or cannot be processed.

- Your use of the Service creates legal, privacy, security, operational, technical, commercial or reputational risk.

- Your account has been accessed without authority.

- Your uploaded content may be unlawful, unauthorised, confidential, sensitive, harmful, infringing or inappropriate for the Service.

- You have misused, overloaded, interfered with or attempted to reverse engineer the Service.

- Continued provision of the Service is not commercially, technically or legally practical.

- We need to comply with law, a regulator, a court order, a provider requirement, or a security obligation.

Except where required by law, suspension, restriction or termination does not entitle you to a refund, credit, re-run, extension, compensation, continued access, data export, or other remedy.

9. Uploaded content, outputs and data deletion

You are responsible for keeping your own copies and backups of any documents, assessment outputs, reports, prompts, frameworks, requirements, settings or other content that you upload to, create in, or generate through the Service.

Docutiser is not intended to be your system of record, document archive, backup system, evidence repository or long-term storage system.

We may delete, disable, restrict, quarantine or remove accounts, uploaded content, assessment outputs, documents, frameworks, requirements, credits, runs or related data where:

- Your account is closed, suspended or terminated.

- Payment is overdue, reversed or disputed.

- You breach these Terms.

- We reasonably suspect misuse, unlawful conduct, unauthorised access or security risk.

- Continued storage or processing creates legal, privacy, security, technical, operational or commercial risk.

- The data is no longer required for the operation of the Service.

- The data appears corrupted, unsafe, unlawful or inappropriate.

- The Service, or the relevant part of the Service, is changed, withdrawn or discontinued.

Except where required by law, deletion, loss, corruption, restriction or removal of account data, uploaded content, assessment outputs, documents, frameworks, requirements, credits or runs does not entitle you to a refund, credit, re-run, extension, compensation, damages, replacement service, data recovery or other remedy.

10. Australian Consumer Law and non-excludable rights

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy, liability or obligation that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.

To the maximum extent permitted by law, any liability we have for a failure to comply with a non-excludable guarantee or obligation is limited, at our option, to one or more of the following:

- Supplying the relevant services again.

- Paying the cost of having the relevant services supplied again.

- Providing a credit, re-run or other equivalent service outcome.

- Refunding the unused portion of the relevant fees, where required by law.

To the maximum extent permitted by law, we are not liable for indirect, consequential, special, incidental, exemplary or punitive loss, loss of profit, loss of revenue, loss of opportunity, loss of goodwill, loss of data, business interruption, regulatory consequences, professional consequences, or loss arising from reliance on an assessment output.

11. No waiver

If we choose to help you in one situation, including by providing a refund, credit, re-run, extension, workaround, data restoration, support response or other assistance, that does not mean we are required to do so again.

Any failure or delay by us in enforcing these Terms does not waive our right to enforce them later.
